Paid opinion: an MFN clause in a seed side letter

A startup that raised on SAFEs is closing a priced seed round. One early investor has a side letter with a most favoured nation clause.

Does the clause give that investor the pro rata rights the new lead is negotiating?

How it works

Pascal does the groundwork. You come in when judgment matters.

  1. Pascal takes on the matter.

It does the intake, reads the documents and does the groundwork.

  2. Pascal calls you.

When the matter needs a human expert, Pascal emails you a short brief and one clear question, or introduces the whole matter where the rules allow.

  3. You answer and get paid.

You see the question and the fee before you reply. Answer, or run the matter.

Two ways to earn

You choose what you take on, and you see the fee before you start.

Paid opinions

Pascal emails you a brief and one clear question. You reply with your view and are paid for your time.

Referred matters

Where the rules in your jurisdiction allow, Pascal can introduce a full matter with the facts and drafts so far. You run it as the lawyer.

Who it's for

Lawyers who are very good at something.

  • Specialists

Deep expertise in one area, like tax, employment, IP, privacy or disputes.

  • Solo and boutique lawyers

Good work arrives without business development.

  • Legal operators

Contract managers, paralegals and legal ops people who get legal work done.

A letter from the founder

To the lawyers who do the best work,

For a hundred years, the best legal work has been done inside a pyramid: a few partners at the top, hundreds of associates beneath them. Most people and most companies never get near it.

That is changing. AI can now read the documents, research the law and draft the first turn in minutes. What it can't do is decide what matters, what to concede, or what to tell a client at midnight before a signing. That was always the job.

Pascal is our experiment in what comes next: an AI lawyer that does the groundwork itself, and calls on the best human lawyers the moment a matter needs judgment.

We want to carry the finest legal expertise from the few to the many. Pascal can't do that alone. If you do exceptional work, whatever the size of your firm, we would like you to be one of the first.

Questions

Is it free to join?

Yes. Membership is by invitation and there is no fee. You choose every piece of work you take on.

How am I paid?

You see the question and the fee before you reply, and you only take on work you accept. The fee is agreed with you before any work starts.

What does Pascal share with me?

Only what you need to answer the question or run the matter. Please treat every brief as confidential.

What about conflicts?

You run your own conflict check before you take anything on, and you can decline any request without giving a reason.

Is Pascal a law firm?

No. Pascal is an experimental AI lawyer from Index Law, not a law firm. When you advise, you do so as an independent lawyer, responsible for your own advice and professional obligations.

Do I have to leave my firm?

Not necessarily. Many lawyers may be able to take paid opinions alongside their current role, subject to their firm's rules and their professional obligations.
